Jianai Platform Terms and Conditions

Please read these Terms and Conditions ("Agreement", "Terms and Conditions") carefully before using jianai.co ("the Site") operated by Jianai Pty Ltd (“Jianai”), "us", "we", or "our"). This Agreement sets out the terms and conditions that apply to your use of the Site.

By accessing or using the Site, including, but not limited to, visiting or browsing the Site or contributing content or other materials to the Site, you agree to be bound by these Terms and Conditions and, if you are an employee or an agent acting for a third party, to bind your employer or that third party to these Terms and Conditions. Capitalised terms are defined in this Agreement.

Intellectual Property

The Site and its original content, features, design, logos and functionality are all owned by Jianai and are protected by various international copyright, trademark, patent, trade secret and other intellectual property or proprietary rights laws. By accepting this Agreement, you acknowledge Jianai's ownership of the Site and its original content, design, features, and functionality. You retain all ownership of any content, data, or intellectual property you submit to the Platform.

User Accounts

To access certain features of the Site, you may be required to register for an account. You agree to: (a) provide accurate, current and complete information during the registration process; (b) maintain the security of your account credentials and not share them with any third party; (c) promptly notify Jianai of any unauthorised use of your account or any other security breach; and (d) accept responsibility for all activities that occur under your account. Jianai reserves the right to suspend or terminate accounts that violate these Terms.

Not Providing Professional Advice

The Site and its original content, features, and functionality are only intended to assist you in your work flows. "None of the information provided is intended to offer legal, financial, business, information technology, medical, regulatory or any other professional advice.

The jianai.co system should not be used as a substitute for competent professional advice from a suitably qualified professional in the specified field of Life Sciences. Users must exercise independent professional judgement and, where appropriate, obtain qualified advice before acting on any output, recommendation or information provided by the Platform.

Not Providing Regulatory Advice

The jianai.co system should not be used as a substitute for competent professional advice from a suitably qualified professional in the field of medical regulation for the areas of medical and pharmaceutical development in the country of regulation. You should always seek independent advice on the regulatory pathway for your product from a suitably experienced and qualified regulatory professional in the relevant jurisdiction. All regulatory outputs generated by the Platform are decision-support tools only and do not constitute regulatory submissions, approvals or endorsements.

Human in the Loop Framework

Jianai operates a Human-in-the-Loop / Expert-in-the-Loop  Framework as a core architectural feature of the Platform. At defined critical decision points — including research synthesis outputs, document approval, regulatory pathway recommendations, IP classification, and clinical trial design parameters and others — AI-generated outputs are subject to expert review and sign-off by a qualified Expert-Reviewer before being treated as final or actionable.

The presence of Expert Review does not transfer responsibility from the User for decisions made based on Platform outputs. Users retain full responsibility for all decisions, submissions and actions taken in reliance on any output from the Platform.

Acceptable Use

You agree not to use the Platform to: (a) submit any query or request that seeks to generate, synthesise, or provide instructions for harmful biological agents, weapons, or controlled substances; (b) attempt to circumvent the Platform's Biosecurity & Harmful Query Framework; (c) use the Platform for any unlawful, fraudulent, or malicious purpose; (d) upload content that infringes the intellectual property rights of any third party; (e) attempt to gain unauthorised access to other users' data or Platform systems; (f) reverse engineer, decompile, or disassemble any part of the Platform; or (g) use the Platform in any manner that could damage, disable, overload, or impair the Platform.

Jianai maintains a Biosecurity & Harmful Query Framework that screens and blocks queries across prohibited categories. Blocked queries will be rejected without explanation. Jianai reserves the right to report unlawful activity to relevant authorities.

Marketing Consent and Use of Institutional Name

By accessing or using the Site, individual users and, where applicable, their institution or organisation, agree to the following, subject to the opt-out mechanism described below:

  1. Reference as a User:  Jianai may identify your institution or organisation by name as a user or partner of the Platform in marketing materials, presentations, investor communications, website content, case studies and promotional publications.
  2. Logos and Branding:  Jianai may display your institution's or organisation's name and logo in connection with the above materials, and should you so direct, in accordance with  any brand guidelines you provide in writing.
  3. Individual Consent:  Where an individual user (rather than an institution) is the contracting party, that individual consents to their name, title and organisation being referenced in connection with their use of or engagement with the Platform, including in case studies, testimonials and partnership announcements, where they have provided express written approval for any such specific reference.
  4. Testimonials and Case Studies:  Jianai will seek specific written approval before publishing any attributed quote, testimonial or detailed case study referencing your institution or individual details.
  5.  Opt-Out:  You may withdraw consent for marketing references at any time by notifying Jianai in writing at info@jianai.co. Withdrawal of consent will apply to future use only and does not require removal of materials already published in good faith prior to receipt of the opt-out notice.
  6. No Endorsement Implied:  Reference to your institution or name as a user of the Platform does not imply endorsement of Jianai's products, services, or any specific output of the Platform, unless you have provided an explicit written endorsement statement.

Privacy and Data Protection

Jianai collects and handles personal information in accordance with the Privacy Act 1988 (Cth) and the Australian Privacy Principles. By using the Site, you consent to the collection, use and storage of your personal information as described in Jianai's Privacy Policy, available at www.jianai.co/privacy.

Where you are located in the European Economic Area or the United Kingdom, Jianai also processes personal data in accordance with the General Data Protection Regulation (EU) 2016/679 and the UK Data Protection Act 2018 respectively. Jianai acts as a data controller for account and billing information and as a data processor for research data submitted through the Platform, in accordance with its Privacy Policy and any applicable Data Processing Agreement.

All research data and institutional data processed through the Platform is subject to Jianai's Black Box Architecture, which ensures logical isolation between location and where applicable institutions. Data is hosted within country-domiciled infrastructure and will not be transferred outside of the country nominated without your prior written consent.

Fees and Billing

Certain features of the Platform require a paid subscription. Subscription tiers, pricing, and included credits are published on the Site and may be updated from time to time. By subscribing to a paid tier, you agree to pay all applicable fees as billed. Fees are billed in advance and are non-refundable except as required by law. Tokens/Jianai Credits allocated under any subscription tier are subject to a monthly usage limit and do not roll over. Unused credits expire at the end of each billing cycle. Enterprise subscriptions are governed by a separate Enterprise Agreement that prevails over these Terms to the extent of any inconsistency.

Jianai reserves the right to change pricing upon reasonable notice. Price changes will take effect at the start of your next billing cycle following the notice period.  

Termination

We may suspend or terminate your access to the Site for business or operational reasons, without cause or notice. Where termination is initiated by Jianai without cause, we will try to give reasonable written notice except where immediate suspension is required for security, legal or compliance reasons.

You may terminate your account at any time by notifying Jianai in writing and the termination shall be completed at the end of the billing cycle. Upon termination, your access to the Platform will cease and any unused credits will be forfeited. Jianai will retain research data for a period of 30 days following termination, after which it will be permanently deleted unless otherwise required by law or agreed in writing.

Limitation of Liability

"To the maximum extent permitted by law, the Jianai shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, intellectual property, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the service; (b) any conduct or content of any third party on the service; or (c) unauthorized access, use or alteration of your transmissions or content, even if the owner has been advised of the possibility of such damages.

In no event shall Jianai’s total liability to you for all claims related to the service exceed the amount you paid Jianai, if any, for the service during the one month preceding the event giving rise to the claim, or US$500, whichever is greater.

Warranty Disclaimers

The Platform is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy of outputs. Jianai does not warrant that the Platform will be uninterrupted, error-free, secure, or that AI-generated outputs will be accurate, complete, or reliable. The Platform uses artificial intelligence and machine learning models that may produce incorrect or incomplete results. Users must independently verify all outputs before relying on them.

Indemnification

You agree to indemnify and hold harmless Jianai, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property or privacy rights; or (d) any content or data you submit through the Platform. This indemnification obligation survives termination of this Agreement.

Our Site may contain links to third-party sites that are not owned or controlled by Jianai.

Jianai has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party sites or services. We strongly advise you to read the terms and conditions and privacy policy of any third-party site that you visit.

Force Majeure

Jianai shall not be liable for any failure or delay in performing its obligations under this Agreement to the extent such failure or delay is caused by events beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, pandemic, government action, labour disputes, internet or infrastructure failures, or third-party service disruptions.

Governing Law

If you are a business user, this Agreement shall be governed and construed in accordance with the laws of the State of Victoria, Australia, without giving effect to any principles of conflicts of law and you submit to the jurisdiction of the courts of the State of Victoria. If you are a consumer user, nothing in this Agreement shall preclude you from access to the courts and laws of your place of usual residence.

Changes To This Agreement

We reserve the right, at our sole discretion, to modify or replace these Terms and Conditions by providing reasonable notice of any material changes. Reasonable notice for material changes means not less than 14 days prior written notice by email to the address associated with your account. Your continued use of the Site after any such changes constitutes your acceptance of the new Terms and Conditions.

If you do not agree to any of this Agreement or any changes to this Agreement, do not use, access or continue to access the Site or discontinue any use of the Site immediately.

Assignment

You may not assign, transfer, or sublicense your rights or obligations under this Agreement without Jianai's prior written consent. Jianai may assign this Agreement in connection with a merger, acquisition, reorganisation, or sale of all or substantially all of its assets without consent. Any attempted assignment in violation of this section is void.

Severability

If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be severed from this Agreement and the remaining provisions shall remain in full force and effect.

Entire Agreement

This Agreement constitutes the entire agreement between you and Jianai with respect to the Site and supersedes all prior or contemporaneous understandings, communications, and agreements, whether written or oral, regarding such subject matter. Enterprise customers may be subject to additional terms set out in a separate Enterprise Agreement, which shall prevail over these Terms to the extent of any inconsistency.
